Agreement to these terms

Mochiwise ("we," "us," "our") operates the website at mochiwise.com, the Mochiwise apps, and the services they provide (together, the "Services").

These Terms of Service ("Terms") are a legally binding agreement between you and us about your use of the Services. By using the Services, you agree to these Terms. If you do not agree with all of them, do not use the Services.

We may change these Terms at any time. When we do, we update the "Last updated" date above. If you keep using the Services after a change, you accept the new Terms.

1. Our Services

Mochiwise is a calorie-tracking service. You tell an AI assistant what you ate, by text or photo, and it estimates the calories and keeps a log of your foods, your meals, your weight and your daily calorie budget.

Not medical advice. The Services are a personal bookkeeping tool. They are not a medical device and do not provide medical, nutritional or dietary advice. Calorie estimates are estimates, and the assistant can be wrong. Talk to a doctor or a registered dietitian before making significant changes to your diet, especially if you are pregnant, have a medical condition, or have a history of disordered eating. If counting calories is harming your wellbeing, please stop using the Services and seek support.

Age requirement. You must be at least 18 years old to use the Services. By creating an account, you confirm that you are.

2. Subscriptions

What is free. Creating an account is free, and so is setting up with the assistant in your first conversation. After that, telling the assistant what you eat, or asking it anything, needs a Mochiwise subscription. Without one, everything you have logged stays in your account for you to look at.

Buying. The subscription is an auto-renewing monthly subscription, sold only in the Mochiwise app for iPhone, through Apple’s App Store. The app shows the price, in your local currency, before you buy. Payment is charged to your Apple ID when you confirm the purchase, or when a free trial ends, and Apple’s Media Services Terms apply to it. A subscription works for the Mochiwise account you bought it on, in the app and on the website. The website does not sell subscriptions. If you reinstall the app or get a new iPhone, use “Restore purchases” in the app.

Free trial. A subscription may start with a free week. Apple gives the free week once per Apple ID, and the app shows whether you have it before you buy. Unless you cancel at least 24 hours before the free week ends, it turns into a paid subscription, and your Apple ID is charged the monthly price. A day before that last moment to cancel, we email you a reminder.

Renewal. The subscription renews automatically each month, at the price then in effect, unless you cancel it at least 24 hours before the end of the current period. Apple charges your Apple ID for the renewal within the 24 hours before the period ends.

Cancelling. You can cancel or manage the subscription at any time in your Apple ID’s subscription settings: on iPhone, open the Settings app, tap your name, then Subscriptions (see Apple’s instructions), or in the Mochiwise app, under Settings › Subscription. When you cancel, the subscription keeps working until the end of the period you are in, then ends. Deleting your Mochiwise account does not cancel a subscription; only you can, with Apple.

Price changes. We may change the price of the subscription. Apple tells you before a higher price applies to you and, where required, asks for your agreement; if you do not agree, the subscription ends at the end of the current period.

Refunds. Apple takes all payments, and Apple decides refunds under its own terms. To ask for one, go to reportaproblem.apple.com (see Apple’s instructions). We do not see your payment details, and cannot give refunds ourselves.

3. Intellectual property

We own or license the Services, including their software, design, text and graphics, and the Mochiwise name and logo. Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to use the Services for your own, non-commercial purposes.

4. Your content

What you put into the Services, such as your messages, photos, foods, meals and weigh-ins, is yours (your "Content"). We do not claim ownership of it, publish it, or sell it.

You grant us the rights we need to run the Services for you: to store your Content, to process it, including by sending it to our AI provider to produce replies, and to show it back to you. We may also look at it to investigate technical problems, to answer your support requests, and to improve the Services, as described in our Privacy Policy.

You are responsible for your Content and confirm that you have the right to upload it, for example that you took the photos you send or may share them.

You sign in with a one-time code sent to your email address, or with your Apple or Google account. Keep access to them secure: anyone who can read your email, or use those accounts, can sign in to yours.

These Terms apply for as long as you use the Services. We may suspend or close an account, or refuse access, at our discretion, including for a breach of these Terms or for suspicious activity. You may stop using the Services at any time, and delete your account and everything in it from the app’s Settings. Closing or deleting an account does not cancel a subscription to it; cancel that with Apple, as described in section 2.

7. Changes and availability

We may change, suspend or discontinue any part of the Services at any time. We do not guarantee that the Services will always be available or free of errors; they may be down for maintenance, updates or technical problems.

8. Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY ABOUT THE ACCURACY OF CALORIE OR NUTRITION ESTIMATES, OF AI-GENERATED REPLIES, OR OF ANY NUMBER THE SERVICES DERIVE FROM THEM. YOU USE THE SERVICES AT YOUR OWN RISK.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, OR FOR ANY HARM ARISING FROM DECISIONS YOU MAKE BASED ON THE SERVICES. OUR TOTAL LIABILITY IS LIMITED TO THE AMOUNT YOU PAID FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM.

Some jurisdictions do not allow these limitations, so they may not apply to you.

10. Indemnification

You agree to indemnify and hold us harmless from claims, damages and expenses, including reasonable legal fees, arising from your breach of these Terms, your Content, or your violation of anyone else’s rights.

11. Governing law and disputes

These Terms are governed by the laws of Armenia. If you have a concern, please write to support@emails.mochiwise.com first; we will try in good faith to resolve it. Disputes that cannot be resolved informally will be settled in the courts of Armenia.

12. Electronic communications

By using the Services you agree to receive communications from us electronically, such as sign-in codes and notices about your account, and agree that these satisfy any requirement that they be in writing.

13. Miscellaneous

These Terms, together with our Privacy Policy, are the entire agreement between you and us about the Services. If you got the app from Apple’s App Store, your use of it is also subject to Apple’s Licensed Application End User License Agreement. If we do not enforce a provision, we have not waived it. If a provision is found unenforceable, the rest remain in effect. We may assign our rights and obligations under these Terms; you may not assign yours without our written consent.
